1. Agreement to these terms
These Terms of Service (the “Terms”) govern your access to and use of the websites, software, games, artificial intelligence applications, digital content and related services provided by Ouroboros Play Ltd. (“Ouroboros Play”, “we”, “us” or “our”). By accessing or purchasing our products or services, you agree to these Terms. If you do not agree, do not use them.
2. Eligibility and accounts
You must be legally capable of entering into a binding agreement in your country. If you use our services for an organisation, you confirm that you have authority to bind it. You are responsible for the accuracy of information you provide and for keeping account credentials secure.
3. Products, licences and acceptable use
Unless a separate licence says otherwise, we grant you a limited, non-exclusive, non-transferable, revocable licence to use purchased digital products for their intended purpose. You may not:
- copy, resell, sublicense or distribute our products except where expressly permitted;
- reverse engineer or attempt to extract source code, except where applicable law permits;
- interfere with security, availability or other users’ access;
- use our services unlawfully, fraudulently, or to infringe another person’s rights; or
- use automated systems in a way that places an unreasonable load on our services.
4. Orders, prices and payment
Prices, currencies, billing periods and applicable taxes are shown at checkout. Our checkout may be provided by Paddle, which may act as merchant of record and handle payment, invoicing, tax and certain customer service matters. Your purchase may also be subject to Paddle’s checkout terms. You authorise the applicable charges when you submit an order.
5. Subscriptions
If you purchase a subscription, it renews automatically at the interval displayed at checkout until cancelled. You may cancel through the subscription-management link in your receipt or by contacting us. Cancellation stops future renewals and does not normally refund the current billing period, subject to our Refund Policy and mandatory consumer law.
6. Updates and availability
We may improve, update, suspend or discontinue features. We will take reasonable steps to avoid material disruption and, where appropriate, provide notice. We do not promise that every service will always be available or error-free.
7. Intellectual property
Our services, including their software, designs, text, graphics, trademarks and other content, are owned by Ouroboros Play or its licensors and protected by intellectual property laws. These Terms do not transfer ownership to you.
8. Third-party services
Our products may link to or integrate with third-party services. Those services are governed by their own terms and privacy practices, and we are not responsible for their content or operation.
9. Disclaimers and liability
To the maximum extent permitted by law, our services are provided “as is” and “as available”. We disclaim implied warranties where legally permitted. We will not be liable for indirect, incidental, special or consequential losses, or loss of profits, data or goodwill. Our total liability relating to a product or service will not exceed the amount you paid for it during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits your mandatory consumer rights.
10. Termination
You may stop using our services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or use the services unlawfully. Provisions that by their nature should survive termination will remain in effect.
11. Governing law and disputes
These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-law principles. Courts of the British Virgin Islands will have jurisdiction, except where the mandatory laws of your country give you the right to bring a claim elsewhere.
12. Changes
We may update these Terms to reflect changes to our products, business or law. We will post the revised version here and update the effective date. Material changes will apply prospectively after reasonable notice where required.
